GENERAL TERMS AND CONDITIONS OF USE OF THE GOGROU PORTAL FOR TRADERS

 

Business corporation GOGROU s.r.o., ID No.: 050 60 044, with its registered office at Česká mládeže 1096, Liberec VI – Rochlice, 460 06 Liberec, hereby accepts the terms and conditions governing the rights and obligations of the parties in the operation of the GOGROU portal operated at www.gogrou.com and other addresses allowing access to the GOGROU system (hereinafter referred to as the “Portal”) concluded between the Operator and the User, under the terms and conditions specified in the Agreement and these General Terms and Conditions of Sale (hereinafter referred to as the “GTC” or “Terms and Conditions”).

 

Interpretative provisions

The following terms, appearing in the GTC with capital letters, shall be interpreted with the following meanings for the interpretation of the relationship between the parties:

 

  1. “Operator” for the purposes of these GTC is the business corporation GOGROU s.r.o., ID: 050 60 044, with registered office České mládeže 1096, Liberec VI – Rochlice, 460 06 Liberec, registered in the commercial register kept by the Regional Court in Ústí nad Labem, in section C, company number 37481;
  2. “User”, for the purposes of these GTC, means any fully self-employed natural person, legal entity or organizational unit without its own legal personality, which is granted legal capacity by law and registered as a User of the GOGROU Portal; if this term is used with a small initial letter, it usually means a larger number of non-specific users, including interested parties;
  3. “Parties” for the purposes of these GTC are meant the Operator and the User;
  4. “Agreement” for the purposes of these GTC means the Agreement for the use of the services of the GOGROU Portal concluded between the Operator and the User for the purpose of making the services of the GOGROU Portal available to the User, when the Agreement may contain individual provisions different from these GTC;< /li>
    The

  5. “Portal” represents a virtual marketplace of services, material and other commodities that makes available to the User the offers and demands of other participants. This Portal is operated by the Operator at the Internet address www.gogrou.com and other Internet addresses on which the Operator allows access to the GOGROU system, when the Portal means all components of the GOGROU system currently made available to users;
  6. “OZ” for the purposes of these GTC means Act No. 89/2012 Coll. Civil Code, as amended;
  7. “Form” for the purposes of these GTC means the form forming Appendix No. 1 of these GTC;
  8. “Module” represents any functional part of the Portal as part of its division into parts made available to Users;
  9. “Mobile application” for the purposes of these GTC is meant the functional part of the Portal intended for operation on mobile devices.
  10. “Interest” for the purposes of these GTC is a natural or legal person who has applied to the GOGROU Portal by submitting a basic registration form, unless they have obtained the status of a User. If the term User is used within these GTC, it also applies to the Interested Party, unless otherwise stated in the GTC;
  11. “Business opportunity” for the purposes of these GTC is an offer or request published on the GOGROU Portal by a User of the GOGROU Portal;
  12. “General Terms and Conditions” or also “GTC” are these General Terms and Conditions issued by the Operator for determining the conditions of operation of the GOGROU Portal and defining the rights and obligations of the Operator and the Participant;< /li>

      1. General Provisions
    •  

      1. The GTC set the rules for Users’ access to the GOGROU Portal and apply to all relations between the User and the Operator in the context of the User’s use of the Portal, unless otherwise specified or agreed upon.
      2. Exemption from the rights and obligations listed in the General Terms and Conditions must be agreed in the Agreement or in its written amendment. In other cases, the Contracting Parties are bound by the rights and obligations specified in the General Terms and Conditions. In the event that some issue is not regulated by the General Terms and Conditions or the Contract, the rights and obligations between the User and the Operator are governed by legal provisions, especially the General Terms and Conditions.
      3. The General Terms and Conditions contain a comprehensive regulation of the contractual arrangements between the User and the Operator operating the GOGRA Portal, when these contractual arrangements are valid as an agreement between the parties, unless otherwise agreed between the parties.
      4. The rights and obligations of the participants arising from the General Terms and Conditions are basically negotiated by the acceptance of the General Terms and Conditions by the User by means of electronic communication.
      5. In the case of concluding a separate Agreement between the User and the Operator, this can be negotiated in any way that demonstrably captures the will of the participants. In addition to the basic written form, means of electronic communication are also permitted (e.g. mobile applications, internet communication platforms, etc.), and of course also through data boxes established on the basis of a special law. The draft Agreement will be sent to the User by the Operator based on the User’s request.
      6. In the event of any conflict between the rights and obligations arising from the General Terms and Conditions and the Agreement, the conditions arising from the Agreement shall take precedence, and these conditions shall apply only to the Agreement concluded for the specific performance of the Provider specified in the Agreement.
      7. The GOGROU portal means all application environments enabling the User to access the Portal environment, including the mobile application.
      8. There is no legal right to access the GOGROU Portal, even if all the conditions set by the Operator for this access are met.

      III. User registration procedure, contract conclusion

      1. The right to use any part of the GOGROU portal is only available to registered Users, unless the use is based on the TRIAL version, when this right is also extended to Interested parties within the framework of simplified registration.
      2. Registration takes place by filling out the basic registration form by the Interested Party and sending this completed form by the Interested Party to the Operator.
      3. After sending the completed login form, the Operator allows the Interested Party access to the GOGROU Portal.
      4. Before logging in for the first time, in order to enable access to the GOGROU Portal, the Applicant must accept the currently valid wording of these General Terms and Conditions and declare that he is a person authorized to act on behalf of the registered entity.
      5. Only a person authorized to act on behalf of the Applicant in accordance with general binding legal regulations or on the basis of the internal organization of the Applicant is authorized to register the Applicant. Due to the content of the Portal’s activity, consumers, as defined by the provisions of the law, are not authorized to register, and no users of the Portal thus benefit from consumer protection.
      6. By first logging in, the Applicant is registered in the GOGROU Portal and is obliged to comply with the obligations set out in these General Terms and Conditions as well as other generally binding legal regulations valid in the territory of the Czech Republic, or on the territory of the state from which the GOGROU Portal is accessed.
      7. As part of the registration process, the Applicant is obliged to provide a functional e-mail address through which the Operator will communicate with the Applicant. Without entering a working e-mail address, the registration process cannot be completed.
      8. By completing the registration, the Interested Party will be able to use the TRIAL version for 30 days, allowing full access to the administrator module managing the User’s account and full access to the basic modules Orders, Tools and Materials, as well as all other modules functional at the time of the Interested Party’s registration, if these others do not have modules are determined by the Operator to be intended exclusively for Users and their use is subject to a fee, and therefore are not part of the TRIAL version.
      9. Within 2 working days after the first login, the Operator will send the Interested Party a registration form to the e-mail address entered by him, as well as a request to pay the Subscription for participation in the GOGROU Portal in the amount according to the valid Price List.
      10. Completeness of the registration form sent by the Operator by the Applicant and its delivery to the Operator in the following manner is a condition for the creation of User Authorizations. In the event that the Interested Party decides to become a User of the GOGRA Portal, he is obliged to fill out the registration form truthfully and in accordance with publicly available data contained in publicly accessible registers so that all such data can be verified by the Operator.
      11. In order to verify the identity, the Applicant is obliged to send the registration form from the data box of the Applicant, who is thus registered in the data box of the Operator ID box: 8r2hjd or electronically equipped with an electronic signature authorizing to act on behalf of the registered entity to the operator’s e-mail registration@gogrou.com or sign the form with a verified signature and send it in paper form to the Provider’s address indicated in the header of these GTC.
      12. The Interested Party is entitled to fill out the registration form and deliver it to the Operator at any time, but only after the verification of the delivered completed form by the Operator together with the payment of the relevant Subscription for using the GOGROU Portal do the Interested Users have the right to be a User. The interested party acknowledges that the mere payment of the amount without sending the registration form to the Operator is not sufficient to create a user authorization. The interested party further acknowledges that sending the registration form after the expiration of the TRIAL version extended by 5 working days results in the adjustment of the amount of the Subscription according to the valid Price List, similarly to the case that the Operator is not paid within the deadline specified in the invitation. The interested party further acknowledges that the Operator will not process the registration form before receiving the payment contained in the request for payment, in the amount corresponding to the payment date from the receipt of the request.
      13. In order to assess the fulfillment of the conditions for sending the registration form and payment of the Subscription, the decisive date is the date of sending by the Interested Party, when the Interested Party is obliged to prove this date to the Operator upon request.
      14. Without a duly completed and submitted registration form and payment of the Subscription, the Interested Party will retain access to the Portal along with the right to use the mobile application, etc., but will no longer be shown the data of other Users responding to business opportunities published by him, and at the same time he will not be able to Portal to find out who posted a specific business opportunity on the Portal and will not be able to respond to it.
      15. After payment of the Subscription and delivery of the registration data, the User’s authorization arises. The Operator informs the User about this by email, including the period for which the Subscription is paid.
      16. In the event that the Interested Party pays the Subscription, but does not deliver the registration form to the Operator, or does not deliver to the Operator a registration form filled in in accordance with the data listed in the public registers within a period of 6 calendar months from the date of payment of the Subscription, the Operator has the right to decide to restrict the Applicant’s access to the GOGROU Portal. In the event of a similar decision, the Operator will notify the Interested Party of this decision. In such a case, after delivery of the decision to the Interested Party, the Operator shall return the unused part of the Subscription to the account from which payment was made in favor of the Operator, in accordance with Article III, Paragraph 21 of these GTC, and the Operator shall send the Interested Party an invoice in the form of a credit note together with the payment. If there are more such accounts, the account from which the first payment was credited to the Operator’s account takes precedence.
      17. After payment of the User Fee by the Applicant in accordance with the sent request for payment, the Operator will send the Applicant a proper accounting document containing details of the payment made, including the calculation of the amount of VAT according to the currently applicable legal amount, to the registered e-mail address within 2 working days. The date of feasible taxable performance is the date the Subscription amount is credited to the Operator’s account..
      18. The operator is a registered VAT payer and all payments in his favor, which are the subject of this tax, are generally made without cash to his bank account published in accordance with a special regulation.
      19. For Interested parties using the TRIAL version, the trial period starts from the first login to the Portal.
      20. The Operator reserves the right to verify the data provided by the Applicant in the registration form and, in the event of their inconsistency with public databases, to invite the Applicant to specify them, or correction so that there are no doubts about the identity of the Applicant or there is no discrepancy between the completed registration data and the data of the Applicant known from public databases.
      21. The Operator reserves the right to refuse access to the Applicant, whose identity there are doubts that the Applicant does not dispel at the request of the Operator, or in case of inconsistency of registration data with data from publicly available databases, which the Applicant does not remove at the request of the Operator. In such a case, the Operator has no obligation to return to the Interested Party a part of the amount already paid in the amount of EUR 300 plus VAT. The Operator is obliged to return the amount paid by the Applicant in excess of the amount specified in the previous sentence to the Applicant’s account, within 7 working days from the delivery of its decision to reject the Applicant’s registration. The unreturned amount will serve as a flat-rate reimbursement of the Operator’s costs with the process of verifying the Applicant’s identity and removing the inconsistency of the registration data with the data listed in public databases and other costs of the Operator arising from the Applicant’s failure to comply with the obligation. The above amount for flat compensation will be invoiced to the rejected Applicant by an invoice sent to the e-mail address registered by the Applicant. For the avoidance of doubt, the Operator expressly states, and the Interested Party agrees, that this amount is in the nature of a contractual penalty, which also includes compensation for damage to the Operator caused by the aforementioned violation of the Interested Party’s obligations. Regarding the amount returned by the Operator, the Operator will issue a credit note to the Interested Party.
      22. After obtaining the User’s rights, the User will acquire the status of “Verified User” in the Portal environment. This information will be displayed to other users of the Portal during all interactions with the User to increase his credibility in the Portal environment.

       

       

      1. Price list
    •  

      1. The valid Subscription price list is published on the Operator’s website. The Operator reserves the right to its unilateral modifications when it undertakes to provide the User with information about the price list update to the User’s registered e-mail and the User’s entered telephone number in the form of a push-up notification to the GOGROU mobile application.
      2. The operator reserves the right to make temporary adjustments to the price list on the basis of promotions organized by him, or other marketing events, when such a temporarily adjusted price will apply only to Interested parties registered at the time of such an event.
      3. The price list contains the price of the basic Subscription package containing basic modules and the Subscription price of additional modules or functions that the User can order.
      4. The price list also contains the conditions under which discounted Subscription prices apply and when the User is entitled to such discounted prices.
      5. The Operator undertakes to charge the User such Subscription for the basic package as is valid at the time of the first accepted payment. Any orders for other modules and functions of the system are then according to the Price List valid at the time of the Order of these other modules or functions. The amount of the subscription determined in this way applies to the User only in the case of an uninterrupted duration of the Subscription.
      6. More details about the prices of the basic package, other modules and functions and the conditions of validity of individual packages and prices for an individual User are given in this Price List.
      7. If there is a unilateral reduction in the price of the Subscription of individual modules or the entire solution and it is not a case mentioned in paragraph 2 of this article, the User is entitled to an automatic adjustment of the Subscription amount from the following period for which the Subscription is paid.

      1. Subscription payment, Subscription renewal
    •  

      1. The subscription is paid by the User based on the Operator’s request made according to the User’s Order.
      2. The User is obliged to pay the Subscription in principle from the published account according to special legal regulations, if the User is subject to a legal obligation to publish it.
      3. An order is any manifestation of the User’s will to order any of the Operator’s products offered within the GOGROU Portal.
      4. The first login to the Portal by the Interested Party is also an Order, if, however, the Interested Party is not obliged to pay according to the call for payment and the Order is not binding for the Interested Party in this respect.
      5. The subscription is valid for the entire period and for the products listed in it. The Subscription is paid at the moment it is credited to the Operator’s account, however, for the purposes of determining the timeliness of the payment, a payment consisting of debiting the amount of the Subscription from the Applicant’s account, if this payment is actually credited to the Operator’s account, is a sufficient gate.
      6. The User is entitled at any time to order other products of the Operator operated within the Portal, with the fact that the amount of the Subscription for the products thus ordered is adjusted according to the duration of the Subscription of the basic package. Any subsequent Subscription is already in the amount of the Subscription for the entire period according to the length of the Subscription basic package.
      7. After the payment has been made by the User, the Operator will send a proper payment document to the User’s e-mail confirming the payment amount, the date of possible tax payment, the product paid for and the duration of the Subscription.
      8. VAT will be added to the amount of the Subscription at the currently applicable rate.
      9. The Subscription is automatically extended in the current amount and for the products currently ordered, always by the next period of the same length, if the User does not send a notification to the Operator about the termination of the Interested Party’s participation in the GOGROU system no later than the last day of validity of the Subscription. In the same way, the User can terminate his further use of any of the components or functions ordered beyond the scope of the basic package.

      1. Termination of the contractual relationship
      1. The User may terminate the contractual relationship with the Operator or its part at any time, based on sending a written notification to the Operator sent from the User’s registered e-mail address, or in the case of supplementing the administrator module with the function of canceling the subscription, in this way, always at the end of the subscription period.
      2. In the event that the contractual relationship between the User and the Operator is not terminated, the Subscription, if the Subscriber does not change the type of subscription, is concluded for the next period of time as long as the previous period, with the fact that, if the User does not payment of the Subscription, the Operator is entitled to restrict the User’s access to the Portal and to the services provided by it, at least in the form that he will no longer be shown the data of other Users responding to business opportunities published by him, and at the same time he will not be able to find out through the Portal who posted on The portal is a specific business opportunity. However, the Operator remains entitled to payment of the Subscription for the next period, when the User has the right to pay the amount due at any time during this period. The Operator explicitly warns the User that the amount of the subscription in such a case is governed by the valid Price List and the provisions of Article IV. paragraph 5 of these GTC, unless another Agreement has been concluded between the Operator and the User. In case of payment by the User, the Operator, after receiving the payment within 24 hours during business hours, will restore full access to all parts and functions of the Portal used by the User to which the paid subscription of the User applied. With the expiration of the next period without payment by the User, his rights and obligations from the contractual relationship with the Operator expire, except for the Operator’s right to payment of the Subscription for the automatically extended Subscription period by the User.
      3. The Operator may at any time limit or disable the User’s access to the Portal’s services, if the User continuously violates the rules for User behavior for a long time and despite the Operator’s notice.
      4. Furthermore, the Operator may, with immediate effect, prevent the User from accessing the Portal Services if there is such a serious violation of the User’s obligations when using the Portal services that his credibility could be impaired.
      5. After such an intervention by the Operator, the User always has the opportunity to prove that he did not commit such an act and to demand immediate rectification.
      6. Less serious violations of the Rules of the Portal’s operation are primarily the publication of business offers or requests without the possibility of their actual fulfillment by the User, as well as the use of the Portal for any advertising messages that go beyond the scope of a message related to a specific business opportunity, if this is not concluded with A separate contract by the Operator, when in such a case the Operator undertakes to clearly and visibly mark the advertising message as an advertising message.
    • Furthermore, publishing offers or requests in modules that are not intended for this is considered a minor violation of the Rules.

      1. A serious violation of the Rules is primarily considered to be acting under a foreign identity or appropriating the identity of another entity. It is also considered to be the publication of demonstrably deceptive offers or requests capable of disrupting the trust of other Users in the trading system of the GOGROU Portal.
      2. In the event that the User is denied access to the GOGROU Portal due to reasons on the part of the User, the User is not entitled to a refund of the proportional part of the Subscription for the period from the denial of access to the end of the paid Subscription.

      VII. Operation of the GOGRA Portal

       

      1. The GOGROU Portal is based on the continuous meeting of the supply and demand of individual users within the framework of separate modules representing various professional sectors created by the Operator as part of its business activity and offered to Users for use within the GOGROU Portal.
      2. The GOGROU portal is based on the creation of an environment that is intended to make the above-mentioned meeting of business offers and requests of Users as efficient as possible by creating a trusted environment in which mainly registered and verified users who comply with the Portal’s Rules of Operation will move.
      3. At the same time, the portal takes care of the continuous development of services, especially in the field of mobile telephony and other application environments, so that Users obtain information in real time according to the criteria specified by them, or of the requirements set by them.
      4. The GOGROU portal has created its own search system based not only on keywords, but also on many other criteria that allow Users to search for goods and services and other commodities with potential business partners who are also Users of the Portal.
      5. The GOGROU portal is by its very nature only a platform enabling users to search for business offers and requests from potential business partners. The GOGROU portal bears no legal responsibility for the success or failure of any business or other legal transaction between participants. The Provider hereby excludes its legal responsibility for any possible damages arising from the conclusion or non-conclusion of a transaction between users of the Portal and their other mutual interactions.
      6. The Operator expressly draws the User’s attention to the fact that the Portal itself does not have the status of an intermediary in the sense of legal regulations and is not financially interested in any specific transaction between users. However, the provider is interested in the proper conduct of transactions between users, because only in this case is it possible to develop the activity of the Portal, and adapts its actions within the framework of the administration of the Portal and its attitude towards its users to this point of view.
      7. The GOGROU Portal is operated by the Operator on a commercial basis, when, according to the Operator’s business model, revenues are dominantly obtained from Subscriptions paid by users, and the functioning of the Portal is thus based on its transparency and on the equal status of users and the Operator’s right to deny access to the Portal to entities that they violate the established rules or there is a serious concern that they would commit such behavior.
      8. The GOGROU mobile application is freely available on Google Play and the App Store, when this application enables a registered User to access and operate the GOGROU Portal environment, when the mobile application is primarily used to send push-up notifications informing the User according to the criteria specified by him, and further the possibility of the User’s response to any published business opportunity. The mobile application does not fully replace the computer version.

      VIII.
      Rules of use of the GOGROU Portal

      1. By registering to the Portal and accepting these GTC, the User undertakes to comply with the following Rules of Use of the GOGROU Portal. The user especially
    •  

      • He undertakes to publish only true information and in the case of declaration of any performance (whether it is his own offer or demand or a reaction to the offer or demand of another User) he must be able to provide this performance and in the case when this performance is to be of a financial nature , must have sufficient funds to cover their obligations.
      • He undertakes to update his advertised business opportunities so that other users do not make false assumptions about the performance offered by the User and the Portal fulfills its basic function, i.e. meeting current offers and user demands.
      • Through the Portal or its offers, it undertakes not to violate the legal regulations valid in the territory of the Czech Republic, or of another country in which he will access the Portal; above all, it is an offer of goods or services that violate legal standards in the field of intellectual property, criminal law and other legal regulations.
      • Observe the rules of fair business dealings and comply with your obligations from the so-called pre-contractual negotiations as these are primarily defined by the regulations of the OZ.
      • To observe the value neutrality of the Portal, i.e. not to abuse your user authorization to promote yourself beyond the scope of legitimate information about your offer of goods or services. In particular, the promotion of political, religious, racial and other opinions that are incompatible with the above-mentioned value neutrality of the Portal is prohibited.
      • In your offers and requests, publish information to the extent sufficient for the proper functionality of the search filters so as to enable proper operation of the Portal.
      • Provide the most accurate information regarding the offered or requested goods and services.
      • Respond to offers or requests from other users responding to business opportunities posted by them.

       

      1. The operator undertakes above all
    •  

      • Do not favor any of the users in your search filters. I.e. guarantees that it maintains their equal status and that the search results mediated by it will not be affected by facts other than the relevance of the entered criteria referred to as filters within the Portal. There will be no sponsored links on the Portal, nor will any user be able to secure a better search position at the expense of other users.
      • Maintain the functionality of the entire system and its individual models and ensure a sufficiently robust technical infrastructure of the Portal.
      • Perform or ensure the implementation of supervision ensuring continuous operation of the Portal; However, the operator does not guarantee the continuous functionality of the Portal.
      • Protect the transferred data of Interested Parties, or Users against third parties except for specified exceptions.
      • Not to interfere in individual deals concluded between users except in the role of operator of the Portal environment, in which there is a conflict between the supply and demand of users.
      • Publish users’ business opportunities automatically immediately after they are uploaded or entered into the relevant module, if there is no technical obstacle preventing this publication.

       

       

       

    • Admin module

       

      1. As part of the basic package, the Interested Party receives access to the administrative module, which allows him to manage his Subscription, individual module orders and other ordered functions. The Operator draws attention to the fact that some of the functions of this module listed here will be put into operation by the Operator.
      2. Within this module, the User is authorized to establish access for other persons to the GOGROU system for the subject registered by him.
      3. The administrator module also allows the User to set the ways in which the GOGROU Portal should communicate with him, especially how the User should be informed about business opportunities that meet the requirements specified by him. Specifically, primarily by providing e-mails and mobile numbers with the GOGRA mobile application installed, to which the Operator will send notifications about business opportunities according to the criteria specified by the User, as well as other important messages from the Operator regarding the operation of the Portal and the User.
      4. The administrator module also allows you to edit the User’s data.

      X.Procedure in the realization of a business opportunity

      1. The user can search among the offers of other users by direct preview or through search filters in all modules to which he has access.
      2. The user can upload their offers to the relevant module, when by uploading them they are made available to other users. When uploading an offer, the User is obliged to fill in the maximum amount of information about the offer corresponding to the pre-set filters, so that the offer can be searched by other users according to the specified criteria.
      3. The user is allowed to create search filters according to his requirements and choose the way in which the GOGROU Portal should provide him with the information that a match with the published offer or demand has been found according to the specified criteria, when this information will usually be provided via a push-up notification on entered phone number.
      4. All business opportunities (offers and requests) are published and visible to any user of the Portal, including interested parties using the TRIAL version for a limited time, but without indicating the identity of the User who published this business opportunity.
      5. The inquiring User and further the Interested Party using the limited fully functional TRIAL version have the opportunity to contact the User who published the mentioned business opportunity, through the contact form associated with each published business opportunity.
      6. By sending a request, the requesting User reveals his identity to the offering User.
      7. The offering User has the option to start negotiations with the requesting User on the realization of a business opportunity or to reject the request. The identity of the Offering User is always indicated in the answer. Negotiations on the implementation of a business opportunity, including the original published offer, are subject to the provisions on pre-contractual liability according to the relevant provisions of the Commercial Code.
      8. Users’ negotiations about business opportunities and the realization of business opportunities already take place outside the GOGROU Portal.
      9. In the event that the published offer of the User differs from the offer that the offering User subsequently communicates to the inquiring User, the inquiring User has the right to inform the Operator of this fact. In the event that the Operator evaluates the User’s offer as deceptive, it will notify the User of this fact with the information that these GTC may have been violated.
      10. Repeated publication of misleading or otherwise false offers may be grounds for temporary or permanent exclusion of this User from the GOGROU Portal. In the case of an outright false offer, in accordance with these GTC, such User’s access to the GOGROU Portal may be immediately blocked by the Operator without compensation.

      1. When the payment gateway becomes operational, the General Terms and Conditions will be updated and their wording supplemented with provisions reflecting its existence and changes to the functioning of the Portal associated with the existence of this payment gateway.
      2. At the moment of implementation of the connection to the banking system of the “we.trade” consortium (https://we-trade.com), a digital platform for secure trading, these GTC will be supplemented with provisions related to the operation of this platform within the Portal.< /li>

      XII.Third Party Access

      1. The operator hereby acknowledges that it provides the data of Users or allows access to its databases to the following entities, which are obliged by law or on the basis of a contractual agreement to protect the data of all persons whose data they obtain or pass on to them. The data is transferred only to the extent necessary to ensure the purpose for which the data is provided.
      2. By accepting these General Terms and Conditions, the User grants the Operator consent to third-party access to the data that he has transferred to the Operator, but always only to the extent necessary to fulfill the purpose of such third-party access as defined in these General Terms and Conditions.
      3. The operator declares that these third parties are:
      4. trade – is an electronic portal for negotiating direct trades, which uses a secure payment method using blockchain operated by a voluntary association of European banking institutions;
      5. Master Internet, s.r.o., ID: 262 77 557, as the technical guarantor of the GOGROU Portal solution and managing the hardware and software operation of the Portal.

      XIII.

      Final Provisions

      1. In cases not regulated by these General Terms and Conditions, the provisions of the OZ, Act No. 89/2012 Coll. and other relevant provisions of the legal regulations of the Czech Republic.
      2. The assignment of rights and obligations from the contractual relationship between the User and the Operator by the User to a third party is subject to the written consent of the Operator. Without this consent, the assignment of rights is not valid or effective and may be considered a serious breach of these GTC by the User
      3. Participants of this contractual relationship consider all provisions of these GTC to be valid and binding. If it turns out that any of its provisions is or becomes invalid or unenforceable, this will not affect the validity of the remaining provisions of the GTC, provided that the invalidity or unenforceability of such provision does not prevent the achievement of the purpose for which the contractual relationship is concluded.
      4. The contracting parties negotiate in accordance with Section 89a of the Act No. 99/1963 Coll., that in the case of a legal dispute arising from the contractual relationship of the Operator, the court that has local jurisdiction according to the current seat of the Operator at the time of filing the court proposal, i.e. in whose district or district the seat of the Operator is located, has local jurisdiction on territory of the Czech republic. In the case of the substantive jurisdiction of the regional court, as a court of first instance, in whose region the seat of the Operator is located.
      5. By entering into a contractual relationship, the User agrees to the processing of his personal data by the Operator, or entities acting on his behalf in the country and abroad in connection with the fulfillment of this contractual arrangement contained primarily in these General Terms and Conditions. The user, if he is a natural person, has all the rights arising from the provisions of Regulation of the European Parliament and Council No. 2016/679 of 27 April 2016 on the protection of natural persons in connection with the processing of personal data and on the free movement of such data (GDPR), in particular has the right to access his personal data, to request their correction, erasure or restriction of processing, as well as the right to object to the processing and the right to transfer personal data. The provision of certain data is a condition for the proper conclusion of the contractual relationship and is necessary for the implementation of its purpose.
